Terms of Service

Shipcrew provides comprehensive startup development services, including but not limited to:

• Strategic Blueprint: Technical planning, roadmapping, and strategic guidance
• Accelerated MVP: Minimum Viable Product development and launch within 30 days
• Enterprise Solution: Full-scale product development with advanced features within 45 days
• UI/UX design, development, testing, and post-launch support
• Technical consultation and strategic planning services

Our services are offered in three primary packages:

Pricing is per project and includes all features specified in the respective package. Additional services or modifications may incur extra charges as mutually agreed upon.

• Payment is due upon signing the service agreement unless otherwise specified
• For projects over $5,000, payment may be split into milestones as agreed upon
• All payments are non-refundable once work has commenced, except as specified in our refund policy
• Late payments may incur a 2% monthly service charge
• All prices are in USD and exclude applicable taxes

Project scope will be clearly defined in a separate Statement of Work (SOW) or project agreement. Key terms include:

• Detailed project specifications, timelines, and deliverables
• Number of revision rounds included in the package
• Communication protocols and project management processes
• Post-launch support duration (14-30 days depending on package)
• Intellectual property ownership and licensing terms

Any changes to the agreed scope may result in additional charges and timeline adjustments.

We commit to the following delivery timelines:

• Strategic Blueprint: Delivered within agreed consulting timeline
• Accelerated MVP: 30-day development and launch
• Enterprise Solution: 45-day development and launch

Timelines are contingent upon timely client feedback, content provision, and adherence to the agreed project scope. Delays caused by client actions may extend delivery timelines accordingly.

Clients are responsible for:

• Providing accurate and complete project requirements
• Timely feedback and approvals during development phases
• Providing necessary content, assets, and access credentials
• Making timely payments as per agreed terms
• Ensuring compliance with all applicable laws and regulations
• Maintaining confidentiality of any proprietary information shared

Upon full payment of all fees:

• Client receives full ownership of the final delivered product
• Client owns all custom code, designs, and content created specifically for their project
• Shipcrew retains rights to general methodologies, techniques, and know-how
• Third-party components remain subject to their respective licenses
• Shipcrew may showcase completed work in portfolios and case studies unless specifically restricted

Shipcrew warrants that services will be performed in a professional manner consistent with industry standards. However:

• We do not guarantee specific business outcomes or market success
• All deliverables are provided "as-is" after the support period expires
• We are not responsible for third-party service failures or changes
• Market performance and user adoption are beyond our control
• Technical specifications may be subject to platform limitations

To the maximum extent permitted by law:

• Shipcrew's total liability shall not exceed the amount paid for services
• We are not liable for indirect, consequential, or punitive damages
• We are not responsible for loss of profits, revenue, or business opportunities
• Client assumes full responsibility for business decisions and market strategies
• Our liability is limited to the repair or re-performance of defective services

Both parties agree to maintain confidentiality of proprietary information shared during the project. This includes:

• Business strategies, financial information, and trade secrets
• Technical specifications and proprietary methodologies
• Customer data and market research
• Any information marked as confidential or reasonably understood to be confidential

This obligation survives termination of the agreement and lasts for 3 years unless otherwise specified.

Either party may terminate the agreement with 30 days written notice. In case of termination:

• Client pays for all work completed up to termination date
• Shipcrew delivers all work completed to that point
• Both parties return confidential information
• Immediate termination is allowed for material breach after 15 days cure period
• No refunds for completed milestones unless otherwise agreed

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, or technical infrastructure failures.

Any disputes shall be resolved through:

1. Good faith negotiation between parties
2. Mediation if negotiation fails
3. Binding arbitration under the rules of the relevant arbitration association
4. Governing law shall be that of Pakistan

• These Terms constitute the entire agreement between parties
• Modifications must be in writing and signed by both parties
• If any provision is unenforceable, the remainder shall remain in effect
• No waiver of any term shall be deemed a continuing waiver
• These Terms are binding upon successors and assigns
